Anadolu Group announced that the operator of the McDonald's Restaurant Operations Anatolia in Turkey was sold to United Holding.

AG Anadolu Group Holding signed 280 million Turkish lira. Anatolia Restaurant located on the licensee of the entire food chain McDonald's business locations in Turkey, will be transferred to the United Holding Limited. Both parties determined the price by negotiating and the sales amount will be collected in advance.
AG Anadolu Group Holding also stated that it will benefit from tax exemptions by keeping 75 percent of the sales income from its equity accounts in its disclosure statement. The transfer of shares will be made after the permission from the official authorities.

As mentioned in our special case statement dated 06.05.2019, Anadolu Restoran İşletmeleri Ltd. Şti. Sti. (“McDonald’s”, “Anadolu Restaurant”), it was reported that an investment bank or an intermediary institution was authorized to search for strategic alternatives and to meet with third parties when necessary. In this context, as of the current situation, negotiations have been completed and a share transfer agreement has been signed to sell the shares representing 100% of Anadolu Restoran's capital to Birlesik Holding Limited. The transfer of shares will be completed after obtaining the permissions from the public authorities and institutions, and is expected to be finalized in the first quarter of 2020. According to the mentioned share transfer agreement, the share value of Anadolu Restaurant has been determined as 280.739.431 TL. After the approval of the
Competition Authority, the share transfer will be made and will be shared with the public.
